These Terms and Conditions (“Terms”) govern your use of www.digitol.co.uk (the “Site”) and the services provided by Digitol (“Digitol”, “we”, “us”), a company based in the United Kingdom. By using the Site or engaging our services you agree to these Terms. This is an interim version and will be updated as our services develop.
1. Use of the Site
You may use the Site for lawful purposes only. You must not attempt to gain unauthorised access to any part of the Site, interfere with its operation, or use it to transmit anything unlawful, harmful or misleading. We may suspend or withdraw access to the Site at any time without notice.
2. Information on the Site
The content on the Site is provided for general information about our work. While we try to keep it accurate and up to date, we make no warranties that it is complete or free from errors. Case studies, figures and examples describe past work and are not a promise of future results.
3. Our services
Any automation, AI or software work we carry out for you will be set out in a separate written proposal, statement of work or agreement. That document, together with these Terms, forms the contract between us. If there is a conflict, the specific agreement takes priority over these Terms.
4. Quotes, fees and payment
Quotes are valid for 30 days unless stated otherwise. Fees, payment schedules and expenses are set out in the relevant agreement. Invoices are payable within the period stated on the invoice. We may pause work on overdue accounts and charge statutory interest on late payments.
5. Your responsibilities
You agree to provide the information, access, approvals and feedback we reasonably need to carry out the work on time. You are responsible for the accuracy of any data you give us, for having the right to share it, and for how the systems we build are used within your business once handed over.
6. Intellectual property
The Site and its content, including text, images, logos and design, belong to Digitol or our licensors and may not be copied or reused without permission. Ownership of work we create for you, and any licence to our pre-existing tools and know-how, is set out in the relevant agreement. Unless agreed otherwise, you own the deliverables once paid for in full, and we keep the right to reuse general techniques, frameworks and knowledge.
7. Third-party services
Our work often relies on third-party platforms, models and APIs, such as AI providers, automation tools and cloud services. Those services are governed by their own terms and we are not responsible for their availability, pricing or changes to their functionality.
8. Confidentiality
Each of us will keep the other’s confidential information private and use it only for the purposes of the work, except where disclosure is required by law. This obligation continues after our work together ends.
9. Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Subject to that, we are not liable for any indirect or consequential loss, loss of profit, loss of data or loss of business, and our total liability arising from any engagement is limited to the fees paid to us under that engagement in the 12 months before the claim arose.
10. Termination
Either party may end an engagement in line with the notice period in the relevant agreement. You will pay for work completed up to the date of termination. Sections that by their nature should survive, such as confidentiality, intellectual property and limitation of liability, continue to apply.
11. Privacy
Our use of personal data is described in our Privacy Policy, which forms part of these Terms.
12. Changes to these Terms
We may update these Terms from time to time. The date shown on this page indicates when they were last changed. Continued use of the Site after a change means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
