Unless otherwise agreed:

  • All invoices are payable within the stated payment terms

  • Late payments may result in suspension of Services

  • Fees are non-refundable except where required by law or explicitly agreed

Digitol reserves the right to charge interest on overdue payments in accordance with applicable UK law.

7. Intellectual Property Rights

7.1 Digitol Intellectual Property

All intellectual property rights in:

  • Pre-existing tools, frameworks, code libraries, and methodologies

  • Website content, branding, and materials

remain the exclusive property of Digitol or its licensors.

7.2 Client Deliverables

Unless otherwise agreed in writing:

  • Ownership of Deliverables transfers to the Client only upon full payment

  • Digitol retains the right to reuse general knowledge, skills, and non-confidential components

7.3 Third-Party Components

Deliverables may include third-party software or open-source components, which are subject to their respective licences.

8. Confidentiality

Both parties agree to:

  • Keep Confidential Information secure and not disclose it to third parties

  • Use such information solely for the purpose of performing obligations under these Terms or related agreements

This obligation shall survive termination of the relationship.

9. Data Protection

Digitol processes personal data in accordance with applicable data protection laws, including the UK GDPR.

Where Digitol processes personal data on behalf of a Client, the Client remains the data controller unless otherwise agreed.

10. Service Availability and Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Website or Services

  • Update technologies, tools, or methodologies used in service delivery

While we aim for reliability and quality, we do not guarantee uninterrupted or error-free operation of the Website or Services.

11. Warranties and Disclaimers

Services are provided using reasonable skill and care consistent with industry standards.

However, to the fullest extent permitted by law:

  • Services are provided on an “as is” basis

  • We do not guarantee specific outcomes, business results, or performance metrics

  • We disclaim all implied warranties, including fitness for a particular purpose

Nothing in these Terms limits liability for:

  • Fraud or fraudulent misrepresentation

  • Any liability that cannot be excluded under UK law

13. Indemnification

You agree to indemnify and hold Digitol harmless from any claims, damages, liabilities, or expenses arising from:

  • Any materials or data you provide that infringe third-party rights

14. Termination

We may suspend or terminate access to the Website or Services if:

  • You breach these Terms

  • You fail to make required payments
